McDonald’s lawyer got $6.4 million after Boston Scientific (1)

McDonald’s Corp. gave General Counsel Desiree Ralls-Morrison nearly $6.4 million after hiring her last year from Boston Scientific Corp.

The package is more than double the total compensation of $2.7 million earned in 2020 by former general counsel Jerome “Jerry” Krulewitch, who received nearly $3.3 million in 2019. Krulewitch took his retirement after being diagnosed with Parkinson’s disease.

Ralls-Morrison joined McDonald’s nearly a year ago after spending the previous decade as chief legal officer of Boston Scientific and Boehringer Ingelheim USA Corp. She was not one of Boston Scientific’s top five highest paid executives in 2021 or 2020.

Ralls-Morrison received more than $1.6 million in cash, including a base salary of $548,700; $911,600 in non-equity incentive plan compensation; and a $150,000 signing bonus, a preliminary annual proxy statement filed Monday showed.

She received nearly $4.8 million in McDonald’s stock and options, according to her power of attorney. Some of those incentives, which are set to vest this year and in 2023 if she stays with the company, were needed to “replace the severance she lost with her former employer.”

McDonald’s did not respond to a request for comment on Ralls-Morrison’s salary or changes to the in-house legal team she now leads.

Bloomberg data reveals that Ralls-Morrison still owns nearly $1.3 million in Boston Scientific stock. The medical device company has promoted chief legal counsel Vance Brown to succeed him as chief legal officer.

Ralls-Morrison also owns shares of Dick’s Sporting Goods Inc. valued at more than $514,000, according to Bloomberg data. The sporting goods retailer added Ralls-Morrison to its board of directors in 2020.

Legal group changes

In September, McDonald’s appointed a new US general counsel in the person of Angela Steele, who had spent the previous year in the role on an interim basis.

Steele replaced former US chief legal officer Mahrukh Hussain, who spent more than two decades at the fast food giant.

Hussain spent six months as acting global general counsel at McDonald’s between Krulewitch’s retirement and Ralls-Morrison’s recruitment. In January, Hussain assumed the role of chief commercial and privacy officer at McDonald’s.

Hussain will head to United Natural Foods Inc. to become its new general counsel and corporate secretary beginning May 16, the company announced Tuesday. The move comes after the food retailer parted ways with its former top lawyer last year.

Over the past year, McDonald’s has hired former Morgan, Lewis & Bockius partner Julia Sturniolo and former Morrison & Foerster senior partner Amber Shubin to serve as senior counsel and legal counsel, respectively. for work and employment around the world.

Last summer, McDonald’s recruited former Latham & Watkins partner Austin Arnett as senior counsel for securities and corporate governance after hiring former Kilpatrick Townsend & Stockton partner Jessica Nwokocha, as Senior Counsel and Director of Global Compliance.

In December, former McDonald’s CEO Steve Easterbrook agreed to return $105 million in cash and stock to settle a lawsuit filed against him by the company. McDonald’s ousted Easterbrook in November 2019 for allegedly having sex with subordinates.

McDonald’s is still facing litigation from investors who say the company should have recouped more of Easterbrook’s severance package.
